Agreement to Terms

These Terms of Service ("Terms") govern access to and use of the SupaNexus website, developer console, and OpenAI-compatible API (collectively, the "Service") by users worldwide. By creating an account, accessing the console, or calling the API, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. If you use the Service in a professional or business capacity, you represent that you have authority to bind that organization. Organization-specific policies, order forms, or deployment agreements configured by your platform operator may also apply and may prevail where expressly agreed. The English version of these Terms is the legally binding version.

Description of Service

SupaNexus is an enterprise LLM gateway that provides unified authentication, model catalog access, routing to third-party AI providers, metering, quotas, and multi-tenant governance for teams globally. The Service is provided for business and authorized use. We may update features, models, and integrations from time to time. Unless expressly agreed in a separate written agreement, we do not provide service level agreements or uptime guarantees.

Eligibility

You must meet the minimum age and legal capacity required to enter a binding contract in your jurisdiction and be authorized to use the Service on behalf of your organization. You may use the Service only in compliance with all applicable local, national, and international laws, including export control and sanctions rules where relevant, and with applicable third-party provider terms.

Accounts and Security

You are responsible for maintaining the confidentiality of your credentials, API keys, and MFA devices, and for all activity under your account. Notify your administrator promptly of any unauthorized access or security incident. We may suspend access to protect the Service or users if we reasonably suspect compromise or misuse.

Acceptable Use Policy

You must use the Service lawfully and responsibly. Without limitation, you must not:

• Violate applicable laws, regulations, or third-party rights.
• Use the Service to generate or distribute unlawful, harmful, deceptive, or infringing content.
• Attempt to bypass rate limits, security controls, access restrictions, or usage quotas.
• Probe, scan, or test vulnerabilities except as expressly authorized in writing.
• Reverse engineer or access the Service to build a competing product except to the extent prohibited by law.
• Submit personal data you are not authorized to process or that violates privacy obligations.

Third-Party AI Providers

The Service routes requests to independent third-party model providers. We do not control and are not responsible for provider availability, pricing, model behavior, content filters, or policy changes. Model outputs may be inaccurate, incomplete, or inappropriate and are not professional, legal, medical, or financial advice. You are solely responsible for reviewing outputs before use or reliance. Your use of provider services may be subject to additional provider terms.

Fees, Usage, and Quotas

Usage may be metered and subject to quotas, budgets, and billing rules configured for your organization. You agree to pay applicable fees, taxes, and government charges in accordance with your organization's billing setup. Except where refund is required by mandatory local law, fees are non-refundable. We may modify pricing or metering with reasonable notice where permitted by your organization agreement.

Intellectual Property

SupaNexus and its licensors retain all rights in the Service, software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your authorized access period. You retain ownership of inputs you submit. You grant SupaNexus a limited license to process inputs and outputs temporarily solely to route requests, meter usage, secure the Service, and troubleshoot incidents as permitted by your organization policies; SupaNexus does not maintain a conversation-history archive beyond call metadata and token statistics.

Service Availability and Modifications

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." We may perform maintenance, modify features, or discontinue models or integrations with reasonable notice when practicable. We are not liable for delays or failures caused by events beyond our reasonable control, including third-party provider outages, network failures, acts of government, or force majeure events.

Termination

You may stop using the Service at any time. We or your organization administrator may suspend or terminate access immediately if you violate these Terms, create security or legal risk, or if required by law. Upon termination, your right to use the Service ceases. Provisions that by nature should survive (including payment obligations, disclaimers, limitations of liability, and indemnification) will survive termination.

Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless SupaNexus and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your inputs or outputs, your violation of these Terms, or your violation of applicable law or third-party rights.

Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT WILL SupaNexus BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED (100) IN THE CURRENCY IN WHICH YOUR ORGANIZATION IS BILLED FOR THE SERVICE (OR, IF NO FEES APPLY, A NOMINAL EQUIVALENT AMOUNT). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Governing Law and Disputes

These Terms are governed by the laws of [Governing Jurisdiction], excluding its conflict-of-law rules, except where mandatory consumer or employment protections in your jurisdiction require otherwise. Before filing a formal claim, the parties agree to attempt good-faith informal resolution. Unless prohibited by mandatory local law, disputes not resolved informally will be submitted to the exclusive jurisdiction of the courts located in [Governing Jurisdiction].

Changes to Terms

We may modify these Terms from time to time. We will post updated Terms on this page and update the "Last updated" date. Material changes may be communicated through the Service or by your administrator. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
